Your continued use of the Services constitutes ongoing acceptance of these Terms & Conditions.

Eligibility

To use the Services, you must:

Users are solely responsible for:

Shivraj may investigate and suspend accounts involved in policy violations.

Payment & Billing Terms

Users agree to pay all applicable charges associated with the Services.

  • Platform maintenance fees
  • Third-party service costs

Payments must be made within the specified billing cycle.

Late payments may result in:

All fees are non-refundable unless otherwise specified in writing.

Taxes, including GST and applicable government levies, shall be borne by the User.

Subscription Renewal & Termination

Unless cancelled prior to renewal:

  • Applicable charges may be deducted automatically
  • Continued use indicates renewal consent

Users may terminate subscriptions by submitting written requests to Shivraj.

Termination does not waive outstanding financial obligations.

Users agree to:

  • Respect user opt-out requests
  • Avoid prohibited content
  • Use approved templates where applicable
  • Maintain lawful communication practices
  • Follow all messaging restrictions

RCS communications must comply with:

  • Telecom operator policies
  • Indian telecom regulations
  • Anti-spam requirements
  • Consent frameworks

Shivraj is not responsible for restrictions, suspensions, or penalties imposed by Meta, telecom providers, or regulatory authorities.

Message Delivery & Compliance Policy

While Shivraj strives to ensure reliable service availability, message delivery depends on several external factors including:

  • Network availability
  • Telecom operator systems
  • Internet connectivity
  • Device compatibility
  • Meta platform approval
  • Regulatory filtering mechanisms

Shivraj does not guarantee:

  • Instant delivery
  • Message read rates
  • Platform uptime
  • Delivery success in all jurisdictions

Users are solely responsible for ensuring campaign compliance with:

  • TRAI regulations
  • IT Act provisions
  • Consumer protection laws
  • Advertising standards
  • Data protection requirements

Intellectual Property Rights

All intellectual property related to Shivraj services, including:

  • Software
  • Logos
  • Branding
  • APIs
  • Designs
  • Documentation
  • Dashboards
  • Templates
  • Source code

shall remain the exclusive property of Shivraj or its licensors.

Users receive limited, non-exclusive, revocable rights to use the Services strictly for lawful business purposes.

Users may not:

  • Copy or reverse engineer the platform
  • Resell services without authorization
  • Reproduce proprietary content
  • Use branding without written permission

Confidentiality

Both parties agree to maintain confidentiality of non-public information exchanged during the course of business.

Confidential information shall not be disclosed to third parties except:

  • Revenue generation

Shivraj disclaims all implied warranties including merchantability, fitness for purpose, and non-infringement to the extent permitted under Indian law.

Limitation of Liability

To the maximum extent permitted under applicable law, Shivraj shall not be liable for:

  • Indirect damages
  • Loss of profits
  • Data loss
  • Business interruption
  • Reputational harm
  • Messaging failures
  • Regulatory penalties caused by User actions

The total liability of Shivraj shall not exceed the amount paid by the User for Services during the preceding three months.

Indemnification

Users agree to indemnify and hold harmless Shivraj, its employees, affiliates, directors, partners, and vendors against claims arising from:

  • Violation of these Terms
  • Illegal communications
  • Policy breaches
  • User-generated content
  • Regulatory violations
  • Third-party claims

This includes legal expenses and damages resulting from User misconduct.

Governing Law (India)

These Terms & Conditions shall be governed by and interpreted in accordance with the laws of India.

Any disputes arising from these Terms shall be subject to the jurisdiction of courts located in Aurangabad, Maharashtra.

Users agree to attempt amicable resolution prior to initiating legal proceedings.
